Terms & Conditions

No purchase is necessary to enter or win. A purchase will not increase your chances of winning. These Event Giveaway Promotion Terms and Conditions are void where prohibited. By entering into any such Event Giveaway Promotion, the entrant participant agrees to be bound by these Terms and Conditions.

Sponsor/Promoter:

These Event Giveaway Promotion Terms & Conditions apply to giveaway promotions conducted by United Systems & Software, Inc., (hereinafter, “USS” or “Sponsor/Promoter”) with offices located at 91 Southwest One Blvd., Benton, KY 42071, at trade shows, conferences, meetings, webinars, customer events, and similar promotional events, unless separate rules are provided and posted for a specific Event Giveaway Promotion.

In the event of “unforeseen circumstances”* beyond Sponsor/Promoter’s reasonable control, USS reserves the right to cancel, terminate, modify or suspend an Event Giveaway Promotion or these Terms and Conditions, in whole or in part, with or without notice.

* unforeseen circumstances mean an incidence of fraud, technical failures, human error, event disruption, or other factors that have affected the integrity or operation of the Event Giveaway Promotion.

USS reserves the right to disqualify any person or entrant participant who violates these Terms & Conditions, tampers with the Event Giveaway Promotion form and entry process, provides false information, or acts in a disruptive, illegal, or unsportsmanlike manner.

All USS decisions are final. No correspondence beyond USS’s notification to an Event Giveaway Promotion Prize winner will be entered into.

Eligibility:

Event Giveaway Promotions are only open to legal residents of the United States who are 18 years of age or older at the time of entry, and those who have a verifiable home residence in the locale, region, city, county, and state where the Event Giveaway Promotion is being promoted and/or taking place.

Employees, officers, directors, representatives, and agents of the Sponsor/Promoter, and their immediate family or household members, are not eligible to enter or win.

Additional eligibility restrictions may apply based on the event, venue, prize, or applicable law, and shall be posted at each such event.

Promotion Period:

Each Event Giveaway Promotion begins when the entrant participant entries are first accepted by USS at the applicable event, as posted or announced, and ends when USS stops accepting entries for that Event Giveaway Promotion, as posted or announced.

For Event booth giveaways, entries by eligible entrants are generally accepted during the Event hours that USS operates its booth or conducts promotional activity.

How to Enter:

To enter, each entrant participant must complete and submit the applicable Event Giveaway Promotion form provided by USS which may be accessed through a QR code, web form, paper form, badge scan, or other event-related available and posted method. The name, home address, email address, and phone number (home/cell) of each entrant participant must be provided to USS at the time of entry to enable fulfilment (notification and delivery) of each applicable Event Giveaway Promotion Prize winner.

A limit of only one entry per person or household, per Event Giveaway Promotion will be accepted unless otherwise posted, announced or stated.

Incomplete, duplicate, automated, fraudulent, inaccurate or multiple household member entries may be disqualified, at the sole discretion of USS.

Event Giveaway Promotion Prize:

The Prize for each Event Giveaway Promotion will be identified at the Event, on Event signage, on the Event Giveaway Promotion form, or in any related Event promotional materials.

Event Giveaway Promotion Prizes are non-negotiable, non-transferable and non-refundable. A Prize may not be redeemed for cash. No cash alternative is available.

The Sponsor/Promoter will not be held liable if the named Prize becomes unavailable or cannot be fulfilled. However, in such circumstance, USS has the right and authority to substitute a Prize of equal or greater value to the winner if the advertised or named Prize becomes unavailable.

Event Giveaway Promotion Prize Winner Selection:

Unless otherwise stated, an Event Giveaway Promotion Prize winner will be selected and awarded the Prize by a random independent drawing from all verifiable and eligible entrant participant entries received for the applicable Event Giveaway Promotion.

An Event entrant participant’s odds of winning the Prize shall depend upon the actual number of eligible entries received that are made a part of the random selection and award process.

Event Prize Winner Notification:

All Event Prize winners may be notified either in person, by phone, by email, by USPS mail or overnight delivery service, or through another contact method provided on the Event Giveaway Promotion entry form.

If a potential Event Prize winner cannot be contacted or located; does not respond within a reasonable time of at least forty-five (45) days from the date of notification; is deemed to be ineligible; declines the Prize; or fails to complete any required documentation; then USS may select an alternate winner.

Taxes:

All Event Giveaway Promotion winners are solely responsible for any and all applicable federal, state, and local taxes, fees, and expenses related to accepting, receiving, or using a Prize that has been awarded to each such winner. The Sponsor/Promoter shall not be liable for any such federal, state, or local taxes, fees, expense, or penalty unless required by governmental ordinance or enactment.

Marketing Communications:

An entrant participant’s entry into an Event Giveaway Promotion does not require consent to receive marketing communications from USS.

Entrant participants may separately choose to receive marketing or promotional communications from USS about products, services, events, and related updates. Entrant participants have the right to unsubscribe or opt out at any time.

Privacy:

Personal Information provided and submitted by an entrant participant’s form in connection with an Event Giveaway Promotion may be used to administer the Giveaway, contact potential winners, verify eligibility, deliver Prizes, maintain records, and communicate with entrant participants as permitted by law.

All entrant participants’ Personal Information will be handled in accordance with USS’s Privacy Policy, which is available at: https://united-systems.com/site-policy.

Publicity:

Except where prohibited by law, the acceptance of an Event Giveaway Promotion Prize provides the winner’s consent to allow permission for USS to use the winner’s name, company name, city/state, likeness, and Prize information for promotional purposes without any additional compensation being paid or provided to the Prize winner.

Release, Indemnification and Limitation of Liability:

By submission of an Event Giveaway Promotion form with the possibility of winning an Event Prize, each entrant participant hereby agrees, represents, and acknowledges that he/she releases, holds harmless and indemnifies USS and each of its officers, directors, employees, representatives, agents, vendors, and Event partners from any and all claims, suits, proceedings or actions arising out of participation in the Event Giveaway Promotion or their acceptance, possession, use, or misuse of any Prize.

To the extent permitted by applicable law, USS’s liability under or in connection with each Event Giveaway Promotion or these Terms and Conditions shall be limited to the cost price of the Event Prize in question.

USS will not be held liable for any receipt failure of entrant participant entries, and USS takes no responsibility for any entries which are lost, delayed, illegible, corrupted, damaged, incomplete or otherwise invalid.

To the extent permitted by applicable law, USS shall not be held liable under or in connection with these Terms and Conditions, the Event Giveaway Promotion or any Prize for the indirect, special or consequential cost, expense, loss or damage suffered by an entrant participant, even if such cost, expense, loss or damage was reasonably foreseeable or might reasonably have been contemplated by the entrant participant and USS, and whether arising from breach of contract, tort, negligence, a breach of statutory duty or otherwise.

Governing Law:

These Terms and Conditions are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law rules or principles. Jurisdiction is solely conferred upon the state or federal courts located in the Commonwealth of Kentucky.
